RM Infrastructure Income AGM 2024

A copy of the circular, including the notice of the AGM (the “Notice of AGM”) will be posted on the Company’s website shortly and will be sent to shareholders who are entitled to receive hard copies of such notices, alongside the Company’s 2023 Annual Report and Accounts (which are already available on the Company website at https://rm-funds.co.uk/rm-infrastructure-income/investor-relations/).

As previously announced, the Board has been evaluating the most appropriate and effective method to return capital to shareholders and concluded that a tender offer is the most suitable structure. In order to facilitate a tender offer in the future, the AGM resolutions include a proposal to conduct a court-approved cancellation of the Company’s share premium account in order to create distributable reserves. Further details on any proposed tender offers will be provided in due course, however based on anticipated repayments it is currently expected that the first tender offer will take place in H2 2024.
