The company has published a circular containing a notice of an extraordinary general meeting in connection with the recommended acquisition of Apax Global Alpha Limited by Janus Bidco Limited. The scheme document sets out, the full terms and conditions of the scheme, a summary of the alternative offer, an expected timetable of principal events and notices of the Court Meeting and the General Meeting.
The meetings will be held at the offices of Skadden, Arps, Slate, Meagher & Flom (UK) LLP located at 22 Bishopsgate, London, EC2N 4BQ. The Court Meeting will start at 11.00 a.m. on 3 September 2025 and the General Meeting will start at 11.15 a.m. on that date (or as soon thereafter as the Court Meeting (as adjourned or postponed, if applicable) shall have concluded).
